Rayl Marketplace — Terms of Use

These Terms govern your use of Rayl Marketplace, a product brand operated by Rayl Technologies BV. By using the platform — as a buyer or seller — you agree to these Terms together with our Privacy Policy, AML / KYC policy, and where applicable the Rayl Payments Terms.

Important: Rayl Marketplace is a platform that connects buyers and sellers. Contracts of sale are concluded directly between buyers and sellers; Rayl is not a party to those contracts. Money movement and seller payouts are performed by our licensed Payment Service Provider (PSP) partners.

1. Definitions

  • Rayl, we, us — Rayl Technologies BV, Jos Ratinckxstraat 3, C082, 2600 Antwerp, Belgium, VAT BE 0717928771.
  • Marketplace — the Rayl Marketplace platform and related services.
  • Seller — any user offering goods or services for sale via the Marketplace.
  • Buyer — any user purchasing goods or services via the Marketplace.
  • PSP — a licensed Payment Service Provider partnered with Rayl that handles money movement and payouts.

2. Eligibility & account

  • You must be at least 18 years old and able to enter contracts.
  • Sellers must complete AML/KYC onboarding and provide accurate business information.
  • You’re responsible for the security of your account credentials.

3. Role of Rayl Marketplace

Rayl provides an online platform that enables Sellers to list goods or services and Buyers to discover and purchase them. We do not own, possess, ship, or warrant the listed items. The contract of sale is concluded directly between Buyer and Seller. We facilitate the technical and payment infrastructure around that contract.

4. Seller obligations

  • List only goods or services you have the right to sell and that comply with applicable law.
  • Provide accurate, complete listings, including price, description, condition, delivery terms, and the legally required pre-contract information for distance selling under EU consumer law.
  • Honour orders you accept and dispatch within the timeframes you publish.
  • Handle returns and refunds in line with EU consumer rights, including the 14-day right of withdrawal where applicable.
  • Account for VAT and any other taxes due on your sales. You are the taxable person; Rayl does not provide tax advice.
  • Cooperate with Rayl on disputes, chargebacks, and compliance enquiries.

5. Buyer obligations

  • Provide accurate information when placing orders.
  • Pay for confirmed orders through the Marketplace’s integrated payment flow.
  • Inspect goods on receipt and raise issues promptly.
  • Use the platform in good faith — no fraudulent chargebacks, harassment of Sellers, or misuse of refund mechanisms.

6. Listings & content

You grant Rayl a worldwide, non-exclusive, royalty-free licence to host, display, and adapt the listings and content you submit, solely to operate and promote the Marketplace. You retain ownership of your content and warrant that you have the rights to publish it.

7. Prohibited items and conduct

You must not list, sell, or buy:

  • Goods or services prohibited by Belgian or EU law.
  • Items requiring a licence or authorisation you don’t hold (e.g. firearms, certain medical devices, regulated financial products, tobacco where restricted).
  • Counterfeit items, stolen goods, items infringing third-party IP.
  • Items on EU sanctions lists or to/from sanctioned jurisdictions.
  • Hate-speech, sexually exploitative, or otherwise unlawful content.

Rayl may remove listings, suspend accounts, and report to authorities where required.

8. Payments & payouts

  • Buyer payments are collected by the PSP, not Rayl. Rayl never holds buyer funds.
  • Seller payouts run twice a week — every Tuesday and Friday, 11:59–23:59 Brussels time (CET / CEST) — and go out regardless of public holidays, in line with the PSP’s settlement schedule.
  • Funds may be temporarily held during dispute investigation, chargeback handling, or compliance review.
  • The PSP’s framework agreement governs the regulated payment relationship.

9. Fees

Marketplace fees are published in-product and may include listing fees, transaction fees, payout fees (set by the PSP), and optional service fees. Changes to fees are communicated in advance, with effective dates clearly stated.

10. Disputes & refunds

  • Buyer-Seller disputes are resolved in the first instance directly between the parties through the in-product dispute flow.
  • Where Buyer and Seller can’t agree, Rayl may, at its discretion and based on the evidence, mediate or apply a platform decision (which may include refunds funded from the Seller’s payout balance).
  • Chargebacks are handled per card-scheme rules and the PSP’s timelines.
  • EU consumers may also use the Commission’s online dispute resolution platform at ec.europa.eu/consumers/odr.

11. Ratings and reviews

Buyers may submit honest ratings and reviews of purchases. Rayl may remove reviews that breach our content rules (e.g. abusive language, manifestly false claims, unrelated content). We don’t pay for, edit, or fabricate reviews.

12. Suspension & termination

We may suspend or terminate accounts for breach of these Terms, suspected fraud, sanctions issues, regulatory direction, or material risk to the platform. You may close your account at any time, subject to settling any outstanding obligations.

13. Liability

Rayl is not a party to the underlying sale and is not liable for the quality, conformity, legality, or timely delivery of items sold through the Marketplace. Our role is limited to providing the platform. To the maximum extent permitted by law, Rayl’s total aggregate liability for any claim related to the Marketplace is limited to the fees we received from you in the 12 months preceding the claim, or €500, whichever is greater. Nothing excludes liability that cannot lawfully be excluded, including mandatory EU consumer protection rights.

14. Data protection

See our Privacy Policy. Where Rayl shares Seller and Buyer data with the PSP for the purpose of executing payments and meeting AML/KYC obligations, that sharing is governed by contract and a defined legal basis.

15. Changes

We may amend these Terms. Material changes will be announced in-product and communicated by email at least 30 days before they take effect, except where a change is required by law or to address a security risk. Continued use after the effective date means you accept the updated Terms.

16. Governing law and disputes

These Terms are governed by Belgian law. The courts of the judicial district of Antwerp, Flanders, Belgium have exclusive jurisdiction, without prejudice to mandatory consumer protection rights in your country of residence in the EU.

Draft notice: these Terms anticipate Rayl operating as an online intermediation platform under the EU P2B Regulation and the Digital Services Act (DSA). Specific P2B/DSA disclosures (ranking parameters, trusted-flagger contact, notice-and-action mechanisms, statement of reasons, contact for authorities) should be added once product behaviour is finalised.
